Terms of Service. Effective October 23, 2026. Version 1.

Terms.

In short

This box is a plain summary. The numbered sections below are the binding text.

Halyard is for businesses and professionals aged 18 or over. You own your footage and your results, we only process them to run your jobs, we never use them to train AI models, and we delete them on a fixed schedule. You pay with prepaid credits, charged per frame, and you see the cost before every send. Failed and cancelled jobs are refunded automatically. Do not upload anything you do not have the rights to. HDR jobs are also subject to third-party model terms (section 7). The service is provided as is, and our liability is capped at what you paid us in the last 12 months.

1. Who we are and who these terms cover

Halyard is operated by Smoke and Oakum LLC ("we", "us", "our"). You can reach us at [email protected]. These terms are an agreement between you and us. They cover the Halyard Premiere Pro plugin, the Halyard cloud service, the Halyard command-line tool and REST API, and this website (together, "Halyard" or "the service").

By installing the Premiere plugin, creating an account, using an API key or sending a job, you accept these terms, our Privacy Policy, our Refund Policy, our Retention Schedule and our Subprocessor list, which form part of these terms. If you do not accept them, do not use Halyard.

2. Who can use Halyard

Halyard is for businesses and professionals. You must be at least 18 years old and able to enter a binding contract. If you use Halyard for a company or other organisation, you confirm that you are authorised to accept these terms for it, and "you" means that organisation as well as you.

3. Your account and API keys

You sign in with a link sent to your email address. Anyone who can open that mailbox can sign in as you, so keep it secure. The Premiere plugin, the command-line tool and the API use API keys. Keep your keys secret. You are responsible for all activity and all charges under your account and your keys. Tell us at [email protected] straight away if you think your account or a key has been used without your permission.

Give us accurate account details and keep your email address current, because we send notices, receipts and sign-in links to it.

4. The service

Halyard is a Premiere Pro plugin connected to cloud processing. You select clips, choose what to do with them, see the cost, and send them. The results come back as new files. The processing options are:

  • Deband: converts 8-bit footage to 12-bit ProRes 4444 XQ (or a 16-bit ACEScg EXR sequence) and removes banding.
  • Size: rescales footage with Lanczos or with the Halyard UF Upscaler.
  • HDR (beta): converts SDR footage to HDR. HDR is only available together with Deband or Size. Highlight detail above white is inferred from the 8-bit source, so check the result before delivery.

Deband and Size can also run locally on an Apple Silicon Mac, from inside the Premiere plugin: no upload, no credits and no sign-in needed.

Results are delivered as 12-bit ProRes 4444 XQ (Deband, Size and HDR) in LogC3 / ARRI Wide Gamut 3, as ACEScg EXR (half-float, 16-bit OpenEXR) where the job produces it, and as previews. Halyard is also available through a command-line tool and a REST API. An MCP interface is planned. Features we describe as planned are not part of the service until we release them.

We never modify your source files. Results are always delivered as new files.

5. Your content

"Your content" means the footage and other files you upload and the results we produce from them. You own your content. We claim no ownership of it.

You grant us a limited, non-exclusive licence to copy, store, transmit and process your content only as needed to run the jobs you send, store your content for the periods in our Retention Schedule, deliver results to you, keep the service secure and meet our legal obligations. This licence ends when your content is deleted under that schedule.

You confirm that you have all the rights and permissions needed to upload your content and to have it processed, including the rights of anyone who appears in it and of anyone who owns material in it.

6. No training on your content

We never use your content, or anything derived from it, to train, fine-tune, evaluate or otherwise improve any AI model, whether ours or anyone else's. We do not permit any of our processors to use your content for that purpose either. This commitment is part of these terms and cannot be switched off by a setting.

7. Third-party models

HDR jobs use LTX models from Lightricks. Results made with these models are also subject to Lightricks' licence terms, and Lightricks' acceptable-use terms apply to every HDR job in addition to these terms. Both are published at lightricks.com/legal. By sending an HDR job you agree to follow them. We run these models on our own infrastructure, so Lightricks does not receive your content.

8. Acceptable use

You must not use Halyard to upload, process or create:

  • anything that is illegal where you are or where we operate;
  • child sexual abuse material. We report it to the authorities;
  • intimate or sexual imagery of a real person without that person's consent;
  • deepfakes of, or material that impersonates, a real person without that person's consent;
  • material that infringes anyone's copyright, trademark, privacy, publicity or other rights.

You must not:

  • attack, break, probe, overload or reverse engineer the service, or get around its security, limits or billing;
  • scrape the service or use it to build a competing service;
  • resell or sublicense access to Halyard without our written agreement;
  • try to get more than one free test credit, for example by creating multiple accounts or by automating sign-ups.

We may refuse, stop or delete any job, and suspend or close any account, that we reasonably believe breaks this section.

9. Credits

Halyard runs on prepaid credits. One credit is worth one US dollar of processing.

  • Credit packs: $25, $100 or $500. Pack credits expire 365 days after purchase.
  • Monthly plans: $25, $100 or $500 a month, granting 30, 120 or 600 credits each month. You can hold one plan at a time. Plan credits expire 60 days after each grant. A plan renews every month, and is charged to your payment method, until you cancel it. You can cancel in the billing portal or by emailing [email protected]. Cancelling stops renewal at the end of the current period. Credits already granted keep their own expiry.
  • Free test credit: new accounts can receive $2 of free test credit for cloud renders sent from the Premiere plugin. It expires after 14 days. It is limited to one per person. We may ask you to add a card, which is not charged, before we grant it, and we may withhold it to prevent abuse. Rendering on your Mac is always free.

Credits are spent earliest-expiring first. Expired credits are removed from your balance and are not refunded. Credits have no cash value except as set out in our Refund Policy. They cannot be transferred to another account, exchanged for anything else, or earn interest.

Payments are processed by Stripe. You authorise us, through Stripe, to charge your payment method for packs you buy and for each renewal of a plan you hold.

10. Prices and charging

Jobs are charged per frame. Rates are quoted in credits per minute of footage at 24 fps, which is 1,440 frames (one credit is one US dollar). Current rates are on the pricing section of this website and in the plugin. Some rates depend on the source resolution or on the speed option you choose. The minimum charge is 0.50 credits per job.

The plugin shows the cost before you send a job. If your balance cannot cover it, the job is not sent and nothing is charged. When you send a job, we take the quoted amount from your balance. Once processing starts we measure the actual frames. If the actual cost is lower, we return the difference. If it is higher, we take the difference, and if your balance cannot cover it, the job fails and its whole charge is refunded.

Failed jobs and jobs you cancel are refunded to your balance automatically and in full. Refunded credits go back to the credits they came from. If those credits have expired in the meantime, the refunded amount gets a new expiry 30 days after the refund.

We may change our rates and our pack and plan prices with 30 days' notice by email. Credits you have already bought keep their dollar value, and a change never affects a job you have already sent.

11. Refunds

Refunds of money are covered by our Refund Policy, which is part of these terms.

12. Taxes

Prices are in US dollars and exclude taxes. Where we are required to collect sales tax, VAT or a similar tax, it is added at checkout. You are responsible for any other taxes that apply to your purchases.

13. Retention and your backups

We delete uploads, results and job details on the schedule in our Retention Schedule. Download or place your results before they are deleted. Halyard is a processing service, not a storage or archive service. Keep your own backups of your original footage and of any result you need.

14. Changes to the service

We may add, change or remove features. If we discontinue the service as a whole, we will give you at least 30 days' notice by email and refund your unused purchased credits.

15. Suspension and termination

You can stop using Halyard at any time. To close your account, email [email protected] from your account address. Unused credits on a closed account are refunded only as our Refund Policy allows.

We may suspend or close your account, or refuse jobs, if you break these terms, if your use puts the service or other customers at risk, if a payment is disputed, or if the law requires it. Where it is reasonable, we will tell you why and give you a chance to fix the problem first.

  • If we close your account without cause, we refund your unused purchased credits.
  • If we close your account for a breach of section 8 (Acceptable use), your unused credits are forfeited.
  • If we close your account for any other breach, we refund your unused purchased credits, less any amount you owe us.

Sections 5, 6, 7, 16, 17, 18, 19 and 21 continue to apply after your account is closed.

16. Disclaimers

Halyard is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation. We do not warrant that results will be suitable for any particular use. Results depend on the source. Generative options can change content, including faces, text and logos. Check every result before you use or deliver it.

17. Limitation of liability

To the extent the law allows, neither we nor our suppliers are liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, business, goodwill, data or time, missed deadlines or re-rendering costs, however caused, even if we were told they were possible.

To the extent the law allows, our total liability for all claims relating to Halyard or these terms is limited to the amount you paid us in the 12 months before the event giving rise to the claim.

Nothing in these terms limits liability that cannot be limited by law.

18. Your responsibility for your content

You will defend and indemnify us against any third-party claim, and any resulting loss, damages and reasonable legal costs, arising from your content or from your breach of section 8 (Acceptable use).

19. Governing law and disputes

These terms are governed by the laws of the State of Connecticut, without regard to its conflict-of-law rules. Any dispute relating to Halyard or these terms will be decided exclusively by the state or federal courts located in the State of Connecticut, and you and we consent to their jurisdiction. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction. Before starting a claim, please contact us at [email protected]; most problems are solved by email.

20. Changes to these terms

We may update these terms, our Privacy Policy, our prices and our subprocessor list. The version and effective date are shown at the top of each page. For material changes, we will email you at least 30 days before they take effect. If you keep using Halyard after a change takes effect, you accept it. If you do not accept a change, stop using Halyard before it takes effect, and you may ask for a refund of your unused purchased credits.

21. General

These terms, with the documents they refer to, are the entire agreement between you and us about Halyard. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right, we have not waived it. You may not transfer these terms without our written consent. We may transfer them to a successor to our business. Neither party is liable for delays or failures caused by events beyond its reasonable control. Notices to you are sent to your account email address. Notices to us go to [email protected].
